Terms of Service
These draft terms govern use of the Noesis iOS app, website, and supporting services. They are pending legal approval and are not production terms.
1. Provider and acceptance
The service is provided by 史成良, at 江苏省苏州市工业园区八达街99号 (“Noesis”, “we”, “us”). By using Noesis after approved terms are published, you agree to those terms and the Privacy Policy. These operator details and this draft must be completed before production release.
2. Preview; no diagnosis or professional advice
Noesis is software for cognitive exercises, observing task behavior, strategy reflection, and practice. Items, profile estimates, confidence labels, recommendations, and deterministic explanations may be incomplete, experimental, inaccurate, or change between versions.
Noesis is not a medical device, clinical or neuropsychological assessment, diagnosis, treatment, therapy, IQ test, educational placement test, employment test, or substitute for a qualified health, education, or other professional. Do not use it for medical decisions, emergencies, employment, admissions, credit, insurance, legal eligibility, or other high-impact decisions.
3. Eligibility and accounts
The production minimum age and contracting rules require counsel approval. Noesis is for adults aged 18 or older who can enter a binding agreement where they live.
You may begin with a random anonymous profile. Optional Sign in with Apple links or merges profile data across supported devices. Keep devices and credentials secure, provide only accurate information, and notify us of suspected unauthorized use. You are responsible for activity through your installation or linked profile unless applicable law provides otherwise.
4. Acceptable use
- Do not break the law, infringe rights, harass others, or submit malicious, deceptive, or harmful material.
- Do not probe, scan, disrupt, overload, bypass access controls or subscription checks, introduce malware, or access another person’s data.
- Do not reverse engineer or scrape the service except where law expressly permits it, automate abusive requests, resell access, or use outputs to build a competing dataset or model.
- Do not use Noesis outputs for diagnosis, surveillance, profiling others, or high-impact decisions, and do not present provisional observations as validated ability scores.
- Do not send secrets, unnecessary personal information, or third-party information in any free-form field.
5. Subscriptions, billing, cancellation, and refunds
Noesis Pro may be offered as an auto-renewing monthly or annual in-app subscription. Product availability, localized price, billing period, introductory-offer eligibility, taxes, and renewal terms shown by Apple at purchase control. Apple charges your Apple ID and manages payment; we do not receive your full payment-card details.
Unless you cancel in Apple subscription settings at least as required by Apple before renewal, the subscription renews and Apple charges the then-displayed price. You can manage or cancel through Apple; deleting Noesis data does not cancel it. Restore Purchases can ask Apple to restore eligible access.
Purchases and refund requests are handled under Apple’s Media Services Terms and applicable law. Request refunds from Apple. If Apple revokes or refunds a transaction, Pro access may end. Nothing here limits mandatory consumer cancellation or refund rights.
6. Service changes and availability
We may add, remove, suspend, rate-limit, or change features, content, profile algorithms, and subscription offerings. We aim to preserve export and deletion controls, but do not promise uninterrupted, error-free, or globally available service. Internet, Apple services, and configured cloud providers may be required for sync, purchases, and restoration.
7. Intellectual property
Noesis and its software, exercises, text, graphics, models, selection and arrangement, trademarks, and other materials are owned by the operator or licensors and protected by applicable law. Subject to these terms, you receive a limited, personal, non-exclusive, non-transferable, revocable license to use the app for its intended non-commercial purpose.
No rights are granted to use Noesis names or marks. Open-source components remain governed by their licenses.
8. Your content and feedback
You retain rights you have in answers, reflections, and other content you provide. You grant Noesis a limited, worldwide license to host, copy, process, transmit, and display that content only as needed to provide, secure, support, and improve the service consistent with the Privacy Policy. You represent that you have the rights needed to provide it.
If you voluntarily send product feedback, you permit us to use it without restriction or compensation, but this does not transfer ownership of your private response history or permit advertising use.
9. Automated strategy explanations
Version 1.0.0 uses deterministic rules rather than an external AI model to produce strategy explanations. Explanations may still be incorrect, incomplete, or unsuitable. Review them critically and do not rely on them as medical, psychological, educational, legal, or other professional advice.
10. Third-party services
Apple and the configured hosting providers are independent providers for relevant features and may apply their own terms. We are not responsible for third-party services to the extent permitted by law. Links do not imply endorsement.
11. Termination
You may stop using Noesis and delete your account data at any time; Apple subscriptions must be canceled separately. We may suspend or terminate access for material breach, security risk, unlawful use, nonpayment or revoked entitlement, or discontinuation, with notice where reasonably practicable and legally required. Provisions that by nature should survive—including ownership, disclaimers, liability limits, and dispute terms—survive.
12. Disclaimers — COUNSEL REVIEW REQUIRED
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOESIS IS PROVIDED “AS IS” AND “AS AVAILABLE.” THE OPERATOR AND ITS LICENSORS DISCLAIM IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT OUTPUTS ARE VALIDATED, ACCURATE, COMPLETE, SECURE, OR ERROR-FREE.
This clause does not exclude warranties or rights that cannot lawfully be excluded. Counsel must adapt this language to the approved operator and launch markets.
13. Limitation of liability — COUNSEL REVIEW REQUIRED
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR AND ITS AFFILIATES, LICENSORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF DATA, PROFITS, GOODWILL, OR OPPORTUNITY, ARISING FROM NOESIS.
A MONETARY CAP, EXCLUSIONS, AND CARVE-OUTS HAVE NOT BEEN LEGALLY APPROVED AND MUST BE INSERTED FOR THE OPERATOR AND LAUNCH MARKETS. Nothing limits liability that cannot legally be limited, which may include fraud, willful misconduct, or death or personal injury caused by negligence in some jurisdictions.
14. Indemnity — COUNSEL REVIEW REQUIRED
Any user indemnity, defense procedure, and consumer exceptions must be selected by counsel for the operator and launch markets. No indemnity obligation is asserted by this engineering draft.
15. Governing law and disputes — COUNSEL REVIEW REQUIRED
Proposed governing law: 中华人民共和国法律. Proposed courts or venue: 江苏省苏州市有管辖权的人民法院. These are unresolved production blockers. Mandatory consumer protections and rights to bring claims in a home forum may apply regardless of the final clause.
No arbitration agreement or class-action waiver is included in this engineering draft. Counsel must decide whether either is appropriate and legally effective in the launch markets.
16. General
If an approved provision is unenforceable, it will be modified or severed only as necessary and the rest remains effective. A failure to enforce is not a waiver. You may not transfer the agreement without consent; the operator may transfer it with the service subject to applicable notice and consumer rights. Approved terms will state the complete agreement, language priority, notices, and any market-specific addenda.
